Rivington Street Software Acquisition
The Board of ANS Group, a leading UK Technology Solutions group, is delighted
to announce that it has acquired the entire issued share capital of Rivington
Street Software Ltd ("RSS"), the London-based specialist bespoke website
development agency from Rivington Street Holdings Ltd.
The consideration was satisfied by the transfer of 1,000,000 ordinary shares of
ANS Group's holding in SMARTiD. RSS has developed a number of software systems
which it owns and supplies to primarily membership organisations such as
professional and chartered bodies, trades unions and trade associations, it
also provides tailor made products for the corporate market. To the year ended
31 August 2006 RSS turned over GBP436,314 and made a loss before tax of
GBP100,029. The loss can be attributed to non-recurring activities and in the
opinion of the Directors of ANS Group the company will be earnings enhancing
within 12 months.
The transfer by ANS Group of 1,000,000 of its shares in SMARTiD to Rivington
Street Holdings Ltd. equates to an interest of 10% in SMARTiD prior to
completion of a fundraising. The fundraising is being carried out in
conjunction with SMARTiD's proposed Admission to PLUS which is being advised on
by *Lion Capital Corporation. Following this transfer of these shares, ANS
Group will hold 3,900,000 shares in SMARTiD, representing 39% of the company's
current issued share capital (pre-Admission).
Further to the announcement on 23 March 2007, ANS Group confirms that SMARTiD's
fundraising prior to the flotation is progressing well. The Board looks forward
to updating shareholders in due course.
